E-SPLICE PARTNER AGREEMENT (Version 2026-10-22) 1. Parties. E-Splice LLC, P.O. Box 180662, Richland, MS 39218 ("E-Splice") and the applicant ("Partner"). 2. Programs. Affiliate: Partner promotes E-Splice with a referral link or coupon and earns 20% of net payments from referred customers for 12 months. Reseller: Partner resells E-Splice plans at a wholesale discount by volume tier, or refers clients on white-label billing. 3. Attribution. Last click within 30 days, or a Partner coupon. Self-referrals, duplicate accounts and incentivized or misleading traffic are not eligible. 4. Payment. Commissions are held 30 days for refunds and chargebacks, then paid monthly once the balance reaches $50. Refunds and chargebacks reverse the related commission. A completed W-9 or W-8BEN is required before payment. 5. Conduct. Partner will use only approved product facts, will not claim a free plan, customer counts, ratings or certifications, will not bid on E-Splice brand terms in paid search, will not spam, and will follow each platform's rules and the FTC endorsement guides (disclose the relationship). 6. Brand. E-Splice grants a limited, revocable license to use its name and logo only to promote E-Splice under this agreement. 7. Term. Either party may end this agreement at any time. Unpaid approved commissions are paid on the next cycle unless ended for breach or fraud. 8. Independent parties. Nothing here creates employment, partnership or agency. Partner is responsible for its own taxes. 9. Changes. E-Splice may change rates or terms with 30 days' notice in the partner portal. 10. Law. Mississippi law applies.
